Terms of Service

1. Eligibility and Authority

You may use the Services only if:

• you are at least 18 years old;
• you are legally capable of entering into a binding agreement; and
• if you use the Services on behalf of a business or other entity, you have authority to bind that entity to these Terms.

2. The Services

The Services may include merchant software, analytics tools, reporting tools, workflow tools, inventory tools, and other software products provided by Good Story.

We may modify, improve, suspend, or discontinue any part of the Services at any time, with or without notice, subject to applicable law.

3. Shopify and Third-Party Platforms

Some Services integrate with Shopify or other third-party platforms. Your use of those platforms remains subject to the applicable third-party terms, policies, and platform rules.

We are not responsible for third-party platforms, products, or services.

4. Accounts and Installation

To use certain Services, you may need to create an account or install the Service through Shopify or another platform.

You are responsible for:

• maintaining the confidentiality and security of your account credentials;
• all activity occurring under your account; and
• ensuring that information you provide is accurate and up to date.

5. Permitted Use

Subject to these Terms, Good Story grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services for your internal business purposes.

You must not, and must not permit others to:

• use the Services in violation of law or third-party rights;
• copy, modify, distribute, sell, lease, sublicense, or commercially exploit the Services except as expressly permitted;
• reverse engineer, decompile, disassemble, or attempt to discover source code, trade secrets, or underlying ideas except to the extent prohibited by law;
• interfere with the operation or security of the Services;
• access or use the Services to build a competing product or service; or
• use the Services in any fraudulent, harmful, abusive, or misleading way.

6. Data and Privacy

You acknowledge that, in connection with providing the Services, Good Story may access, collect, use, store, and process information, including Shopify data, in accordance with our Privacy Policy.

You are responsible for ensuring that your use of the Services complies with applicable law and that you have all rights, notices, and permissions required in relation to data you make available through the Services.

7. Fees and Billing

If a Service is offered on a paid basis:

• pricing and billing terms will be disclosed at or before purchase or installation;
• charges may be billed through Shopify or another applicable platform;
• you authorize applicable charges and fees;
• except as required by law, fees are non-refundable; and
• we may change pricing on a prospective basis.

8. Intellectual Property

The Services, including all software, code, designs, text, graphics, user interfaces, workflows, documentation, trademarks, service marks, logos, and other content made available by Good Story, are owned by or licensed to Good Story and are protected by applicable intellectual property and other laws.

Except for the limited rights expressly granted in these Terms, no rights are granted to you.

9. Feedback

If you provide feedback, suggestions, ideas, or recommendations regarding the Services, you grant Good Story a worldwide, perpetual, irrevocable, non-exclusive, royalty-free right to use, reproduce, modify, and otherwise exploit that feedback without restriction or compensation.

10. Disclaimers

The Services are provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, Good Story disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, secure, or that results, analytics, recommendations, or outputs generated through the Services will be complete, accurate, or suitable for your needs.

11. Limitation of Liability

To the maximum extent permitted by law, Good Story and its directors, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, goodwill, data, business opportunity, or anticipated savings, arising out of or related to the Services or these Terms.

To the maximum extent permitted by law, the total aggregate liability of Good Story arising out of or relating to the Services or these Terms will not exceed the greater of:

• the amount you paid to Good Story for the relevant Service in the 12 months before the event giving rise to the claim; or
• AUD $100.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

12. Indemnity

You agree to indemnify, defend, and hold harmless Good Story and its directors, officers, employees, contractors, affiliates, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:

• your use of the Services;
• your breach of these Terms; or
• your violation of law or third-party rights.

13. Suspension and Termination

We may suspend, restrict, or terminate your access to any part of the Services at any time, with or without notice, if:

• you breach these Terms;
• we are required to do so by law, Shopify, or another platform provider;
• your use poses a security, legal, or operational risk; or
• we discontinue the relevant Service.

You may stop using the Services at any time, including by uninstalling an app from Shopify where applicable.

Sections that by their nature should survive termination will survive, including sections relating to intellectual property, feedback, disclaimers, liability, indemnity, governing law, and dispute resolution.

14. Changes to the Services or Terms

We may update these Terms from time to time. If we make material changes, we may provide notice by posting the updated Terms through the Services or on our website and updating the “Last updated” date above.

Your continued use of the Services after updated Terms take effect constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of Victoria, Australia, without regard to conflict of law principles.

16. Disputes

Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts of Victoria, Australia, unless applicable law requires otherwise.
